As someone earlier said, it is because, like most Sith, (with the obvious exception of the quite obedient Darth Maul) Dooku wanted to be the master, so he wanted Obi-Wan to be his apprentice. Just like Palpatine and Anakin or Vader and Luke.

Dooku isn't retarded: He's dead, Jim. Supposedly, (and you get this from the book, not the movie), Dooku had a deal with Palpatine (in the chance he loses to Anakin and Kenobi) to be turned over to the Jedi for punishment -- assumed to be jail. Besides, you don't have to be stupid to sin. Dooku murdered for power and glory. You reap what you sow.

The reason Dukoo said that the Leader of the republic is Sith is because He "Dukoo" is a seperatist (or so the council thought). No one knows at this time that Count Dukoo is a Sith. He is against the republic and on the side of the seperatist, So a Sith running the republic would be his sworn enemy. No one knows at this time that Palpatine/Sidious was controlling both side "Only Dukoo jis apprentice knew this" (This was the main part of Sidious'plan). That's why he told Obi that the republic was being ran by Sidious. He also thought that Obi would be killed during the execution anyway so he wouldn't live to tell about it. Him telling Obi that a Sith was running the republic was an attempt to make Obi believe that the senate was corrupt and maybe turn him into seperatist and divide the Jedi.

If Jedi and Sith are so good at seeing into the future, I wonder why Dooku didn't foresee that Darth Sidious would betray him and allow him to be killed. After all, when Anakin cuts off Dooku's hands with his lightsaber, Palpatine tells Anakin to kill him, and Dooku looks at the Emperor in shock and disbelief. But I guess Dooku was hoping to hang around long enough to assume the throne of master after Sidious passed on. By the way, after Anakin kills the now-handless Dooku, he says, "I killed an unarmed man." Ha! Anakin does have a sense of humor!!

The fantasy of every Sith lord is to slay their master and assume the position of ultimate power. Seeing that "there is always two," Dooku identified Obi-Wan as the most suitable accomplice to defeat the Emperor, as he is a grandson-like figure. (Vader propositioned Luke in a similar fashion) This proposition was obviously rejected, and Obi-Wan was to be killed. Unfortunately for Dooku, his calculated risks did not pay off.

Dooku believed that he knew Obi Wan. He believed that being Qui Gon Jinns apprentice (Who was Dookus own apprentice at one time) would be able to convince him that the Jedi Order is corrupt. Because the senate they serve is corrupt. A Senate ruled by a Dark Lord of the Sith. And Dooku is NOT a Dark Jedi. He is a Sith Lord. There is a difference. Always a master and an apprentice. Palpatine is a Master. Dooku is a Sith lord. Later replaced by Darth Vader. Assaji Ventress is a Dark Jedi.
